RESPECTED CABLE TV AND TECHNOLOGY LEADERS JOIN BOARD OF DIRECTORS OF RGB NETWORKS

CEOs of Charter Communications and Extreme Networks to Help Guide Telecommunications Tech Firm

SAN MATEO, CA – July 28, 2004 – — - Carl Vogel, President, CEO and Director of Charter Communications (Nasdaq: CHTR), and Gordon L. Stitt, President, CEO and Director of Extreme Networks (Nasdaq: EXTR), have joined the board of Silicon Valley-based RGB Networks, announced Adam Tom, President and CEO of RGB Networks.

Gordon L. Stitt is credited with Extreme Networks' rapid ascent from start-up to industry leader in best-of-breed broadband networking solutions and was Ernst & Young's 2001 Entrepreneur of the Year in Technology.

"RGB's video-intelligent processing is the next step in creating powerful, flexible, cost-effective networks to distribute video," said Stitt.

Carl Vogel, one of the most respected leaders in the cable television industry, leads Charter Communications, one of the country's largest cable television companies, and personally brings over 20 years of telecommunications experience to RGB Networks.

"I have great confidence in the prospects of this company's exciting technology and ability to translate technology into competitive products for the broadband industry," said Vogel.

Publicly launched in May, RGB Networks, an innovator of software and hardware solutions for video delivery, is already employing its stellar board to help prepare for the introduction of its groundbreaking Video Intelligence Architecture (VIA) later this year. Well-versed in the technical landscape surrounding the cable and telecommunications industries, these senior executives will impart strategic guidance, industry analysis and critical marketing expertise to assist the RGB team.

RGB's other board members are William R. Hearst III of Kleiner Perkins Caufield & Byers, Jim Goetz of Accel Partners, and Adam S. Tom and Peter Monta of RGB Networks.

William R. Hearst III is a partner with the venture capital firm Kleiner Perkins Caufield & Byers. Hearst also serves as director of the Hearst Corporation and Hearst-Argyle Television and earlier as editor and publisher of the San Francisco Examiner.

"Since my investment interests have long focused on the digital media and telecom industries, I'm certain RGB has developed a breakthrough technology that makes it cost effective for CATV operators to offer brand new services in a capital efficient way," said Hearst. "RGB promises the cable industry a great leap forward — they can now deliver almost limitless volumes of on-demand video in a highly profitable manner."

Jim Goetz is a partner with the venture capital firm Accel Partners, where he focuses on the communications sector, including networking, software and services. Peter Monta is Chief Scientist and co-founder of RGB Networks and was a principal engineer at Imedia Corporation, where he coinvented the CherryPicker statistical remultiplexer technology found in most cable systems today. Adam S. Tom is RGB Networks' President, CEO and co-founder and is leading his second start-up venture following the successful launch and sale of Imedia for $100 million in the 1990s.

"Assembling a board of this caliber makes a significant statement about the validity of the market space that our technology is designed to address," said Tom. "These gentlemen bring tremendous prestige and expertise to RGB Networks. Their knowledge and strategic counsel will provide us with excellent direction as we set out to advance the video network landscape."

About RGB Networks
